These Terms of Service (“Terms”) govern your access to and use of the website at intentiq.co.uk (the “Site”) and, where you subscribe to it, the INTENTIQ clinic-management platform (the “Platform”), each operated by Intentiq Ltd (“INTENTIQ”, “we”, “us” or “our”). By using the Site or the Platform you agree to these Terms. If you do not agree, please do not use them.

1. Who we are

Intentiq Ltd is a company registered in England & Wales. Registered office: 34 Nottingham Road, Belper, England, DE56 1JG. Company number: 16956195 (incorporated 12 January 2026). You can contact us at info@intentiq.co.uk.

2. The two parts of this agreement

These Terms cover two different things:

(a) Website Terms of Use — rules for anyone visiting or browsing the Site, including submitting enquiry or lead forms. These apply to everyone.

(b) Platform Subscription Terms — the terms on which a clinic or practitioner subscribes to and uses the INTENTIQ Platform under a paid plan. These apply only to subscribing customers and are supplemented by your order and, where applicable, a Data Processing Agreement (“DPA”).

3. Using the website

You agree to use the Site lawfully and not to: (a) attempt to gain unauthorised access to the Site, its servers or any connected system; (b) introduce malware or attempt to disrupt the Site; (c) scrape, harvest or misuse any data or content; or (d) use the Site in any way that breaches applicable law. We may suspend or withdraw access to the Site at any time without notice where necessary.

4. Intellectual property

All content on the Site and Platform — including text, graphics, logos, the INTENTIQ™ name and mark, software and design — is owned by or licensed to Intentiq Ltd and is protected by intellectual-property laws. You may not copy, reproduce, republish or exploit it without our prior written permission, except as expressly permitted by these Terms or your subscription.

5. Platform subscriptions, pricing & payment

Access to the Platform requires an active paid subscription. Current pricing is set out at intentiq.co.uk/pricing and is inclusive of VAT unless stated otherwise. Subscriptions renew automatically for successive terms unless cancelled in accordance with your plan. We may change pricing on renewal with reasonable prior notice. Fees already paid are non-refundable except where required by law.

6. Acceptable use of the Platform

If you subscribe, you and your authorised users must: (a) keep login credentials secure and not share them beyond your licensed user count; (b) use the Platform only for lawful clinic-management and healthcare-administration purposes; (c) ensure you have a lawful basis and any necessary consents to input personal or patient data; and (d) not misuse, reverse-engineer, resell or attempt to compromise the Platform. Misuse may result in suspension or termination.

7. Data protection & patient data

Our handling of personal data is described in our Privacy & Data Protection Policy at intentiq.co.uk/privacy-data-protection-policy. Where you use the Platform to process personal data (including patient and special-category health data), you act as the data controller and INTENTIQ acts as your data processor, and the parties agree to be bound by the Data Processing Agreement, which forms part of these Terms for subscribing customers. Each party will comply with the UK GDPR and Data Protection Act 2018. We maintain appropriate technical and organisational security measures and will notify you without undue delay on becoming aware of a personal-data breach affecting your data.

8. Availability & support

We aim to keep the Platform available and reliable but do not warrant uninterrupted or error-free operation. We may carry out maintenance, updates and changes. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure, connectivity or force-majeure events.

9. No clinical or professional advice

The Platform is an administrative and record-keeping tool. It does not provide clinical, medical, legal or regulatory advice and does not replace the professional judgement of a qualified clinician or your own regulatory responsibilities (including those to the CQC and relevant professional bodies). You remain solely responsible for clinical decisions and for your regulatory compliance.

10. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to that: (a) we exclude all implied warranties to the fullest extent permitted by law; (b) we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data; and (c) our total aggregate liability arising out of or in connection with the Platform in any 12-month period is limited to the total subscription fees paid by you to us in that period. For non-paying Site visitors, our total liability is limited to £100.

11. Suspension & termination

You may cancel your subscription in accordance with your plan. We may suspend or terminate access where you materially breach these Terms, fail to pay, or where required by law. On termination we will, on request and for a limited period, make your data available for export in a commonly used format, after which we may delete it in line with our retention policy.

12. Changes to these Terms

We may update these Terms from time to time. Material changes affecting subscribers will be notified with reasonable notice. Continued use of the Site or Platform after changes take effect constitutes acceptance.

13. Governing law & jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
